第二十五条中外合作者履行合作企业合同、章程发生争议时，应当通过协商或者调解解决。

第十一条合作企业依照经批准的合作企业合同、章程进行经营管理活动。

Article 11 A contractual joint venture shall conduct its operational and managerial activities in accordance with the approved contract and articles of association for the contractual joint venture .

我国外商投资企业法规定，申请设立中外合资经营企业或中外合作经营企业必须提交中外合资经营企业合同或中外合作经营企业合同，由审批机关进行审批。
